M/s. Scrum Rugby(“Scrum Rugby”) is pleased to provide to you access to its website. These terms govern your use and our provision of the Services on the Scrum Rugby website (“Our Website”). PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR WEBSITE.

1. Contract between You and Us
This is a contract between you (“You”) and M/s. Scrum Rugby, a partnership firm having its registered office at Mercantile House 4th floor, 708 Magazine Street, Opp. Britannia Industries, Darukhana, Reay Road (E), Mumbai 400 010, India and/or its affiliates. You must read and agree to these terms before using or accessing Our Website. If You do not agree, You should not use or access Our Website.These terms describe the limited basis on which the Scrum Rugby Services are available and supersede prior agreements or arrangements.

Use of Scrum Rugby Services is available only to persons who can form a legally binding contract under the Indian Contract Act, 1872. If You are a minor i.e. under the age of eighteen (18) years, You may use the services only with the consent of a Parent (defined hereinafter).

Supplemental terms and conditions may apply to some Scrum Rugby Services, such as rules for a particular competition, service or other activity, or terms that may accompany certain content or software accessible through the Scrum Rugby Services. Supplemental terms and conditions will be disclosed to You in connection with the applicable competition, service or activity. Any supplemental terms and conditions are in addition to these terms, and in the event of a conflict, prevail over these terms.

Scrum Rugby may amend these terms at Scrum Rugby’s sole discretion and make best efforts to notify You when major changes are made.Your continued use of Scrum Rugby Services following the posting of changes and/or modifications will constitute Your acceptance of the revised terms. Nothing in these Terms of Service shall be deemed to confer any third-party rights or benefits upon You. Notwithstanding the above, if any change to these terms is found invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions.

Scrum Rugby may immediately terminate this contract with respect to You(including Your access to the Scrum Rugby Services) if You fail to comply with any provision of these terms.

At anytime during the subsistence of the Terms of Use and the Privacy Policy, a Parent may revoke their consent by discontinuing the access or use of Scrum Rugby Services.

You undertake and warrant that You will periodically review the Terms of Use provided at www.scrumrugby.in and the Privacy Policy at www.scrumrugby.in and that Your consent to the same shall be construed by the continuous access or use of the services from Your account. www.scrumrugby.in

2. Scrum Rugby Services
Scrum Rugby Services are for Your personal, use and are intended for purchasing, informational and other similar purposes only. Scrum Rugby Services are our copyrighted property or the copyrighted property of our licensors or licensees and all trademarks, service marks, trade names, trade dress and other intellectual property rights in the Scrum Rugby Services are owned by us or our licensors or licensees or any affiliate companies. Except as we specifically agree in writing, no element of the Scrum Rugby Services may be used or exploited in any way other than as part of the Scrum Rugby Services offered to You. You may own the physical media on which elements of the Scrum Rugby Services are delivered to You, but we retain full and complete ownership of the Scrum Rugby Services and all the intellectual property rights vested therein. We do not transfer title to any portion of the Scrum Rugby Services to You. If a Scrum Rugby Service is configured to enable the use of software, content, virtual items or other materials owned or licensed by us, we grant You a limited, revocable, non-exclusive, non-sub licensable, non-transferable license to access and use such software, content, virtual item or other material for Your personal use only.

You agree not to copy, reproduce, duplicate, modify, create derivative works from, display, publish, distribute, disseminate, broadcast, transmit, sell, rent, lease, lend, sub-license or circulate or otherwise exploit for any purpose (commercial or otherwise) any material and/or part of or all of the Scrum Rugby Services to any third party (including, without limitation, the display and distribution of the material via a third party website) without the express prior written consent of Scrum Rugby.

• to send, use or reuse any material that does not belong to You; or is illegal, offensive (including but not limited to material that is sexually explicit content or which promotes racism, bigotry, hatred or physical harm), deceptive, misleading, abusive, indecent, harassing, blasphemous, defamatory, libelous, obscene, pornographic, pedophilic or menacing; ethnically objectionable, disparaging or in breach of copyright, trademark, confidentiality, privacy or any other proprietary information or right; or is otherwise injurious to third parties; or relates to or promotes money laundering or gambling; or is harmful to minors in any way; or impersonates another person; or threatens the unity, integrity, security or sovereignty of India or friendly relations with foreign States; or objectionable or otherwise unlawful in any manner whatsoever; or which consists of or contains software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any spam, or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource; or contains any trojan horses, worms, time bombs, cancel bots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, diminish value of, surreptitiously intercept or expropriate any system, data or personal information;

• to cause annoyance, inconvenience or needless anxiety.

• You shall not, directly or indirectly, offer, attempt to offer, trade or attempt to trade in any item, the dealing of which is prohibited or restricted in any manner under the provisions of any applicable law, rule, regulation or guideline for the time being in force.

Disclaimers and Limitation on Liability

THEScrum Rugby SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”WE DISCLAIM ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES NOT EXPRESSLY SET OUT IN THESE TERMS. Scrum Rugby SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. YOU EXPRESSLY AGREE THAT YOUR USE OF THE WEBSITE IS AT YOUR RISK.

UNLESS OTHERWISE SPECIFIED, Scrum Rugby SERVICES ARE PRESENTED SOLELY FOR THE PURPOSE OF PURSHASING, INFORMATIONAL AND FOR OTHER SIMILAR PURPOSES IN ACCORDANCE WITH THE LAWS OF INDIA. Scrum RugbyMAKES NO REPRESENTATION THAT MATERIALS ON THE SITE ARE APPROPRIATE OR AVAILABLE FOR USE IN OTHER LOCATIONS. NOTWITHSTANDING ANYTHING TO CONTRARY CONTAINED IN THESE TERMS OR ELSEWHERE, Scrum Rugby'S ENTIRE LIABILITY TO YOU SHALL BE LIMITED TO THE AMOUNT OF THE MONEYS PAID BY YOU FOR OR TOWARDS ANY PRODUCT OR SERVICE, IN CONNECTION WITH WHICH THE CLAIM HAS ARISEN, WHICH AMOUNT SHALL BE REFUNDED YOU, IN CASE THE CLAIM IS PROVEN BY AN ORDER OF THE COURT OR ANY COMPETENT AUTHORITY.

IN NO EVENT SHALL Scrum Rugby, ITS OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS, PARTNERS OR SUPPLIERS BE LIABLE TO YOU FOR ANY (1) SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING THOSE RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER OR NOT FORESEEABLE AND WHETHER OR NOT Scrum Rugby HAS BEEN ADVISED OF THE POSSIBILITY OF THE SAME, (2) BASED ON ANY THEORY OF LIABILITY, INCLUDING BREACH OF CONTRACT OR WARRANTY, NEGLIGENCE OR OTHER TORTIOUS ACTION, OR (3) ANY OTHER CLAIM ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR ACCESS TO THE WEBSITE OR THE SERVICES.

Additional Restrictions on Use of the Scrum Rugby Services

You may not submit posts intended to promote and/or generate revenue for yourself and/or any third party business activity. You agree not to knowingly or recklessly introduce a virus or other harmful component, or otherwise tamper with, impair or damage any Scrum Rugby Service or connected network, or interfere with any person or entity’s use or enjoyment of any Scrum Rugby Service. Scrum Rugby reserves the right to revoke these exceptions either generally or in specific cases. As such, Scrum Rugby will not be responsible for content provided on any third party website, and further Scrum Rugby will under no circumstances be liable for any direct, indirect, incidental or special loss or other damage, whether arising from negligence, breach of contract, defamation, infringement of copyright or other intellectual property rights, caused by the exhibition, distribution or exploitation of any information or content contained within these third party hyperlinked websites.

Third-Party Services and Content

The Scrum Rugby Services may integrate, be integrated into, or be provided in connection with third-party services and content. We do not control those third-party services and content. You should read the terms of use agreements and privacy policies that apply to such third-party services and content.

If You access a Scrum Rugby Service using an Apple iOS, Android or Microsoft Windows-powered device, Apple Inc.,Google, Inc. or Microsoft Corporation, respectively, shall be a third-party beneficiary to this contract. However, these third-party beneficiaries are not a party to this contract and are not responsible for the provision or support of the Scrum Rugby Services. You agree that Your access to the Scrum Rugby Services using these devices also shall be subject to the usage terms set forth in the applicable third-party beneficiary’s terms of service.

Mobile Networks

When You access the Scrum Rugby Services through a mobile network, Your network or roaming provider’s messaging, data and other rates and fees will apply. Downloading, installing or using certain Scrum Rugby Services may be prohibited or restricted by Your network provider and not all Scrum Rugby Services may work with Your network provider or device.

3. Your Content and Account
User Generated Content
The Scrum Rugby Services may allow You to communicate,submit,upload or otherwise make available text, images, audio, video, competition entries or other content (“User Generated Content”),which may be accessible and viewable by the public. Access to these features may be subject to age restrictions. We do not claim ownership to Your User Generated Content; however, You grant us a non-exclusive, sub licensable, irrevocable perpetual and royalty-free worldwide license under all copyrights, trademarks, patents, trade secrets, privacy and publicity rights and other intellectual property rights to use, reproduce, transmit, print, publish, publicly display, exhibit, distribute, redistribute, copy, index, comment on, modify, adapt, translate, create derivative works based upon, publicly perform, make available and otherwise exploit, commercially or otherwise, such User Generated Content, in whole or in part, in all media formats now known or hereafter devised (including in connection with the Scrum Rugby Services and on third-party sites and platforms such as Facebook, Instagram,You Tube and Twitter), in any number of copies and without limit as to time, manner and frequency of use, without further notice to You, with or without attribution, and without the requirement of permission from or payment to You or any other person or entity. You represent and warrant that Your User Generated Content conforms to these terms and that You own or have the necessary rights and permissions, without the need for payment to any other person or entity, to use and exploit, and to authorize us to use and exploit, Your User Generated Content in all manners contemplated by these terms. You agree to indemnify and hold us and our subsidiary and affiliated companies, and each of their respective employees and officers, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against us by any third party arising out of or in connection with our use and exploitation of Your User Generated Content. You also agree not to enforce any moral rights, ancillary rights or similar rights in or to the User Generated Content against us or our licensees, distributors, agents, representatives and other authorized users, and agree to procure the same agreement not to enforce from others who may possess such rights. Scrum Rugby reserves the right to decide whether the User Generated Content or any other content violates this Terms of Use.

To the extent that we authorize You to create, post, upload, distribute, publicly display or publicly perform User Generated Content that requires the use of our copyrighted works, we grant You a non-exclusive license to create a derivative work using our copyrighted works as required for the purpose of creating the materials, provided that such license shall be conditioned upon Your assignment to us of all rights in the work You create. If such rights are not assigned to us, Your license to create derivative works using our copyrighted works shall be null and void.

We have the right but not the obligation to monitor, screen, post, remove, modify, store and review User Generated Content or communications sent through a Scrum Rugby Service, at any time and for any reason, including to ensure that the User Generated Content or communication conforms to these terms, without prior notice to You. We are not responsible for, and do not endorse or guarantee, the opinions, views, advice or recommendations posted or sent by users.

Claims against Objectionable Content

We operate on a "notice and takedown" basis. If You believe that any content on Our Website is illegal, offensive (including but not limited to material that is sexually explicit content or which promotes racism, bigotry, hatred or physical harm), deceptive, misleading, abusive, indecent, harassing, blasphemous, defamatory, libelous, obscene, pornographic, pedophilic or menacing; ethnically objectionable, disparaging; or is otherwise injurious to third parties; or relates to or promotes money laundering or gambling; or is harmful to minors in any way; or impersonates another person; or threatens the unity, integrity, security or sovereignty of India or friendly relations with foreign States; or objectionable or otherwise unlawful in any manner whatsoever; or which consists of or contains software viruses, (" Objectionable Content "), please notify us immediately by following our Notice and Procedure for Notifying of Objectionable Content. If You believe that any content on, or advertised for sale on, the website contains any Objectionable Content as defined hereinabove, please notify us immediately by sending us a notice in the format as set out below.

Please note that this procedure is exclusively for notifying Scrum Rugby of Objectionable Content on or advertised for sale on the Scrum Rugby website. Please provide your address, telephone number, and e-mail address when sending the notice to us.

Important Warning: Giving false, misleading or inaccurate information in the Notice to Scrum Rugby may result in civil and/ or criminal liability.

Accounts

Some Scrum Rugby Services permit or require You to create an account to participate or to secure additional benefits. Such an account may be created by You if You are above eighteen (18) years of age or by Your by father or mother whether biological, adoptive or step father or step mother and includes a legal guardian (“Parent”) on Your behalf. You agree to provide and maintain accurate, current and complete information, including Your contact information for notices and other communications from us and Your payment information. You agree to inform us immediately of any changes to the information that You provided when registering. You agree not to impersonate or misrepresent Your affiliation with any person or entity, including using another person’s username, password or other account information, or another person’s name or likeness, or provide false details of a Parent. To create an account for a minor in relation to Scrum Rugby Services a Parent shall complete the registration process for his or her child. To create a membership account for the child on the site the Parent must, along with other requirements, (a) provide information about the Parent and his/her child as prompted by our registration processes, (b) agree to the Terms of Use (c) review and consent to the site's practices in collecting and using personal information from children under thirteen (13) years of age as specified in this Terms of Use and (d) submit the Parent's credit card information to pay the fees, if any, required to use the site.

A Parent's affirmative consent during the registration process means that such Parent consents to the collection, use and disclosure of the personally identifiable information of his or her child in accordance with the Privacy Policy available at support@scrumrugby.in and has reviewed this Terms of Use.

You undertake not to impersonate any person or entity, falsely state or otherwise misrepresent Your affiliation with a person or entity or disguise the origin of any content, stalk or otherwise harass another person or user, upload, post or e-mail any content that You do not have a right to transmit under any law or under contractual or fiduciary relationships, upload, post or e-mail any content that infringes any intellectual property rights or other third party rights of any party or violate any applicable national or international laws or regulations.

As a Scrum Rugby account holder You may submit content to the Service, including videos and user comments. You understand that Scrum Rugby does not guarantee any confidentiality with respect to any content You submit.

We have adopted and implemented a policy that provides for the termination, in appropriate circumstances, of the accounts of users who are repeat infringers of copyright. In addition, we may suspend or terminate Your account and Your ability to use the Scrum Rugby Services if You engage in, encourage or advocate for illegal conduct, or if You fail to comply with these terms or any supplemental terms.

Passwords and Security

The arbitration proceeding shall be conducted in Mumbai, India and shall be governed by and constructed in accordance with the laws of India. The language of the arbitration shall be English. The costs and expenses of the arbitration shall be borne as decided pursuant to the award.
